Practice Areas:
  • Assisted in domesticating a foreign LLC into Nebraska after liquidating and reinvesting in properties in Nebraska.
  • Acted as the Nebraska Department of Revenue’s primary liaison with the Nebraska State Historical Society for the coordination and administration of the Nebraska Historic Tax Credit (NHTC) Program, including the development of the software database to track the historic tax credits.
  • Primary reviewer at the Nebraska Department of Revenue for software procurement agreements, intellectual property licensing agreements, consulting service agreements, and software subscription agreements to determine the sourcing and taxability of all software related transactions.
  • Helping several start-up companies by filing organization documents, drafting/reviewing operating agreements, employee manuals, independent contractor/vendor agreements, and technology licensing agreements, and obtaining permits and professional licenses.

Khanh (Kenny) Tran is the Managing Partner at Tran & Associates Law. He has extensive experience working in civil practice focusing on real estate transactions, landlord/tenant law and related litigation, business planning and general business representation in state courts and administrative agencies. After law school, Khanh started his legal career in the Department of Revenue, where he gained extensive knowledge in tax law, various tax credit programs, patent law and technology transfers. Currently, Khanh also serves as the managing broker and general counsel for a local real estate/property management company, which he helped started. Prior to that, Khanh has worked in Silicon Valley doing IT support and software and database development for several years.
